1. DEFINITIONS
In these Terms and Conditions,
"Client" shall mean the legal person or persons to whom Eclipse Hospitality Services Pty Ltd ACN # ("Eclipse") is obliged to provide the Event.
"Event" shall mean the provision of booking facilities, passes, corporate hospitality, event information, event execution and any other services.
"Event Provider" shall mean the issuer of the Event package, pass and/or ticket (as applicable).
"Price" shall mean the cost for the Event, inclusive of all (if any) Goods and Services Tax.
2. PAYMENT
All amounts are in $AUD
The Client must pay Eclipse Hospitality in full the amount equal to the Price plus GST and all other amounts payable in respect of the Event in order to secure a booking. Tickets will not be issued until payment has been made.
Subject to item 5 and item 7 below, if after securing a booking, an Event is not available to the Client then Eclipse will provide to the Client a 100% refund.
Any payment made by the Client to Eclipse via credit card may be subject to an additional processing fee- the fees may vary over time and will be advised at the time of booking.
3. TICKETING
Client hospitality passes and final Event information will be delivered between 1 to 2 weeks prior to the event. Some delays may occur from time to time from our suppliers. Eclipse accepts no responsibility for any delays that may occur.
Eclipse will use its best endeavours to replace lost or stolen tickets or accreditation passes. Replacement may not be possible for all events – where replacement is possible a penalty fee may apply.
4. CLIENT CANCELLATION
Once a signed booking confirmation form has been received by Eclipse, packages cannot be cancelled.
5. ALTERATION TO THE ADVERTISED PACKAGE
Package inclusions and event details issued to the Client may change due to circumstances beyond the control of Eclipse. If any details do change Eclipse will use its best endeavours to inform the client of the chance within a reasonable period of time.
6. LIABILITY
In making arrangements with third parties for carriage by air, hotel accommodation, transportation, restaurants or otherwise, Eclipse acts only as the agent of the Event Provider and does so on the express condition that no liability of any kind howsoever caused shall attach to Eclipse in connection with or arising out of such arrangements.
Eclipse does not accept liability for any errors or omissions on its website and reserves the right to change the information published on its website at any time.
Eclipse does not accept liability for any indirect or consequential loss arising out of the use or connected with its website or for any packages, products or Events purchased via its website.
Eclipse makes no warranty or representation about the fitness or suitability of any packages, products or Events advertised on its website, emails or any written material.
The Client will indemnify Eclipse against any loss or property damage to any hospitality facilities arising out of the purchasers use thereof and for any personal injury, death or loss of or damage to any property or any person arising out of or as a consequence of the Client’s use of any hospitality package or facility or services except that such loss, damage, injury or death arises from the negligent act or omission of Eclipse.
7. CANCELLATIONS OF EVENT
Many venues have the policy that “once gates are open, all hospitality packages will go ahead” for their events. In the event of weather or other factors causing an event cancellation decision after the gates are opened then this agreement may still apply and all hospitality will go ahead. Should the event then be transferred to another day, Eclipse will use its best endeavours to supply replacement hospitality on this day, however additional fees such as catering may apply to the replacement event.
In the event that an event is cancelled or abandoned for any reason Eclipse will use its best endeavours to credit the fee to the purchaser, however the purchaser acknowledges that this may not be possible with certain events (depending on individual event supply, venue and catering conditions and regulations that may apply) and that Eclipse is under no obligation to replace such events.
Eclipse may cancel an event booking or at its discretion offer alternative dates or venues if the venue is unfit for use or the purchaser is in breach of any provision of this Agreement.
8. CLIENT'S DUTIES
The Client must abide by the terms and conditions of the Event Provider in relation to the Event.
The terms and conditions of the Event Provider form part of these Terms and Conditions. The terms and conditions of the Event Provider are either displayed on this website or available from Eclipse on request.
Any complaints or claims are the responsibility of the Event Provider and not Eclipse as agent for the Event Provider.
Eclipse itself and on behalf of the Event Provider reserves the right to refuse entry or to allow participation in the Event to any Client or any Client’s guest on the day of the Event if the Client or guest behaves in any manner which is in the opinion of Eclipse likely to cause offence or injury to any other party.
The Client must ensure that its invitees act in an orderly manner and comply with the rules and regulations governing the venue in question including the conduct of security checks.
The Client acknowledges and agrees that Eclipse, the Venue and their nominees may, without liability, evict any invitee of the purchaser that is behaving an a drunken, disorderly or inappropriate manner and in such circumstances the Client will not be entitled to a refund.
The purchaser acknowledges that the Supplier and the Venue will not be responsible for any loss or damage to property brought to the venue or hospitality area by the purchaser or any of its invitees.
The purchaser acknowledges that various venue regulations will apply from time to time which must be adhered to.
The purchaser must treat as confidential the terms of this agreement and all information supplied by Eclipse that comes into the purchasers possession concerning Events or Hospitality packages.
9. LICENSING
Where necessary Eclipse and the Client shall adhere to the local licensing conditions for alcohol and other regulations in relation to an Event.
10. INDEMNITY
The Client hereby indemnifies and holds Eclipse harmless from and against any and all costs, damages, and expenses, including attorney's fees, which are incurred by the Client, it's agents, employees and guests, or for which Eclipse becomes liable as a result of the conduct of the Client, its agents, employees and guests.
Notwithstanding the foregoing, the Client shall be liable with regard to any loss, damage, cost, expense or injury incurred or suffered by the Eclipse which relates to or arises out of the acts or omissions of the Client or the Client’s guests and the Client shall indemnify the Eclipse accordingly. This obligation shall be without limit of time.
11. MISCELLANEOUS
These Terms and Conditions and any invoice provided in relation to an Event booking constitute the sole and exclusive agreement between the parties. Client acknowledges that no other warranties, representatives, or acknowledgments, written or verbal, have been made which are not reflected herein.
a. Should a portion of the total charge in relation to the goods or services be subject to any tax regulations including a goods and service tax, this will be added to the final invoice.
b. Both parties submit the sole jurisdiction of the N.S.W Courts in the event that any disagreement should arise out of these Terms and Conditions.
c. These Terms and Conditions shall be binding between Eclipse and the Client upon acceptance by the Client to these Terms and Conditions.
d. The person accepting on behalf of the Client warrants that they have full authority to bind the Client.
12. CONDITION OF SALE
The Client must not use the facilities and/or packages covered by this Agreement for any purpose other than for that for which it was purchased. Without limiting the generality of the foregoing, it is a condition of sale that any Hospitality Package or part thereof will not be resold, on sold, sublet or rehired nor used for advertising, promotion or other commercial purposes (including competitions or trade promotions) or to enhance the demand for other goods or services, without the prior written approval of Eclipse. Any breach of this clause will result in the cancellation of the existing customer agreement without a refund
14. LAW
These Terms and Conditions shall be governed by and construed in accordance with the law of Australia
